Demerger Update: Unpledging of Veranda Learning Solutions Holdings

Veranda Learning Solutions Limited is undergoing a demerger under which its Commerce Education Business will be transferred to J.K. Shah Commerce Education Ltd. The record date for determining eligible shareholders is Tuesday, 6th October 2026.

Eligible shareholders will receive 1 equity share of J.K. Shah Commerce Education Ltd. for every 1 equity share held in Veranda Learning Solutions Limited.

For MTF Clients

• Veranda Learning Solutions shares pledged under MTF will be unpledged, and the MTF holdings will be converted to CNC (Cash and Carry) on 6th October 2026.
• Please ensure sufficient funds are available in the trading account to meet the requirements arising from the conversion and avoid RMS action.

For Normal Pledge Clients

• Veranda Learning Solutions shares pledged as collateral will be unpledged.
• Once unpledged, these shares will no longer provide collateral value.
