2 months agoIn continuation to the Companys previous intimation dated 28.01.2026 & 29.01.2026 and with reference to Regulation 30 read with Schedule III Part A Para A (1) of SEBI (LODR) Regulations 2015 we hereby inform you that Royal Orchid Hotels Limited had executed the Share Purchase Agreement for the sale of Wholly owned subsidiary Multihotels Limited to M/s Greenleaf Properties Limited on 29.01.2026.We further inform that the Company has received the final instalment of the sale consideration on 02.06.2026 thereby completing the transaction in accordance with the terms of the agreement.Consequently Multihotels Limited has ceased to be a subsidiary of ROHL with effect from 02.06.2026.

3 months agoIn continuation with Regulation 30 of the SEBI LODR Regulations 2015 we wish to inform you that the Company has received an order passed on May 26th 2026 from the Honourable Court of Rajasthan Jaipur Bench. The order pertains to Arbitration Application No. 16/2023 filed in connection with disputes arising under the MOU dated 18.04.2027 executed between Tambi & Others vs ROHL & others for its associated company KSDPL. Pursuant to the said order the Honourable High Court has appointed Honourable Mr. Justice Ajay Rastogi (Former Judge Supreme Court of India) as Sole Arbitrator for adjudication of the disputeds between the parties.Relevant details as required under Regulation 30 of SEBI (LODR) Regulations 2015 are provided in Annexure A of the aforesaid intimation.
