Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 we hereby submit the outcome of the Board Meeting as follows:1. The meeting of the Board of Directors was held today i.e. Wednesday 14th October 2026. The meeting commenced at 4.00 p.m. and concluded at 5.00 p.m.2. The Board has approved the proposal to subscribe to the Rights Issue of Jowela Exim Private Limited (Jowela) an unlisted private company pursuant to the recommendation of the Audit Committee by subscribing to 16 00 000 equity shares of ?10 each for an aggregate consideration of ?1 60 00 000. Upon allotment of the aforesaid equity shares the Companys aggregate shareholding in Jowela will be 16 16 000 equity shares representing 50.50% of Jowelas post-issue paid-up equity share capital. Upon completion of the proposed subscription and allotment of the aforesaid equity shares Jowela will become a subsidiary of Nidhi Granites Limited.
