1 week agoThe allotment of 9 00 00 000 (Nine Crore) equity shares of the Company of face value of Rs. 10/- each (Equity Shares) in dematerialized form on a preferential basis to non-promoters as determined in accordance with Regulation 164 read with Regulation 166A of the SEBI (Issue of Capital and Disclosure Requirements) Regulations 2018 for consideration other than cash i.e. by way of share swap towards discharge of the total purchase consideration of Rs.90 00 00 000/- (Rupees Ninety Crore only) (Purchase Consideration) against the acquisition of 90 00 000 (Ninety Lakh) equity shares (Sale Shares) at a price of Rs. 100/- (Rupees One Hundred Only) per equity share of M/s. Cultureantique Jewellery Private Limited (CJPL) from the proposed allottees. The Sale Shares are proposed to be acquired at a price of Rs. 100/- (Rupees One Hundred only) per equity share of CJPL against which the Company shall issue and allot the aforesaid Equity Shares to the Proposed Allottees.
